Terms of Business

These Terms of Business ("Terms") govern all services provided by Green Engineering Ltd (“we”, “us”, “our”) to our clients (“you”, “your”, “the client”). By engaging our services, you agree to these Terms in full unless otherwise agreed in writing.

1. Services

Green Engineering Ltd provides engineering, consultancy, design, installation, and maintenance services for renewable energy and infrastructure projects. The specific scope of work will be detailed in your Proposal, Quotation, or Contract Agreement. Any variations to the agreed scope must be requested in writing and may be subject to additional charges.

2. Quotations and Pricing

  • All quotations are valid for 30 days from the date of issue unless otherwise stated.
  • Prices are exclusive of VAT unless stated otherwise.
  • We reserve the right to adjust pricing due to changes in scope, material costs, labour rates, or unforeseen circumstances beyond our control.
  • Unless otherwise agreed, work will not commence until written acceptance of the quotation and terms has been received.

3. Payment Terms

  • Payment terms are as stated in the agreed contract or quotation, typically 30 days from the date of invoice.
  • For larger projects, staged or milestone payments may be required.
  • Overdue payments may incur interest under the Late Payment of Commercial Debts (Interest) Act 1998.
  • We reserve the right to pause or terminate services if invoices remain unpaid beyond the due date.

4. Client Responsibilities

The client agrees to:

  • Provide accurate and complete information required for the delivery of services
  • Grant access to premises, facilities, and personnel as needed
  • Obtain any necessary planning permissions, licences, or consents (unless otherwise agreed)
  • Ensure the working environment is safe, including compliance with health and safety legislation
  • Notify us promptly of any issues, delays, or changes that may affect project delivery

5. Intellectual Property

All intellectual property rights, including technical drawings, specifications, and documentation created by Green Engineering Ltd, remain our property unless otherwise agreed in writing. You are granted a non-exclusive, non-transferable licence to use any deliverables for the purposes intended in the contract.

6. Confidentiality

Both parties agree to treat all commercially sensitive or confidential information as private and not to disclose it to any third party without prior written consent, except as required by law. This clause remains in effect for 5 years after the end of the engagement.

7. Health, Safety, and Environmental

We operate in full compliance with applicable health and safety, environmental, and waste management regulations. We expect our clients and partners to do the same.

If working on your premises, you must inform us of any known hazards or site-specific procedures.

8. Warranties and Liability

  • We warrant that our services will be delivered with reasonable skill, care, and diligence in accordance with industry standards.
  • Any materials or products provided by us are subject to manufacturer warranties.
  • Our liability for any claim (excluding personal injury or death caused by our negligence) shall be limited to the total value of the contract or £100,000, whichever is lower.
  • We are not liable for indirect, consequential, or financial losses, including loss of profit, business interruption, or reputational damage.

9. Force Majeure

We are not liable for any failure or delay in delivering services due to events outside our reasonable control, including but not limited to strikes, adverse weather, natural disasters, supply shortages, government actions, or utility failures.

10. Termination

Either party may terminate the agreement with 30 days’ written notice. We reserve the right to terminate immediately if:

  • The client fails to make payments when due
  • The client breaches these terms and does not rectify the breach within a reasonable time
  • Continued performance would be unlawful or pose risk to health and safety

11. Governing Law and Jurisdiction

These Terms shall be governed by and interpreted in accordance with the laws of England and Wales. Any disputes shall be subject to the exclusive jurisdiction of the courts of England and Wales. Upon termination, the client will be liable for all work completed and costs incurred to date.

12. Amendments

We reserve the right to update these Terms of Business from time to time. The most current version will be published on our website or provided upon request.

13. Acceptance

By commissioning Green Engineering Ltd to carry out work, you acknowledge that you have read, understood, and agreed to these Terms of Business.
